Services are offered in structured packages (Basic, Standard, Pro), each with defined features and limits.
Where a higher-tier plan includes 'everything in a lower-tier plan,' this refers to access to comparable or upgraded features. Any overlapping feature (such as strategy calls) is replaced by the higher-tier version, not added cumulatively.
AI Automation Package (AIAP) modules are optional services available under our FLEX MENU structure. Each module includes a one-time setup fee and monthly recurring charge. Modules are scoped and activated independently. Bundled packages include only the modules listed at time of purchase. AI logic is not guaranteed to replace human interaction, nor does it ensure specific outcomes or conversions.

The official scope of services will be defined and confirmed during onboarding. Any additional services outside this scope may be quoted separately.

We may refine or enhance features over time to improve performance or adapt to platform changes.

Any material changes to included features or packages will be communicated in advance.

9. Strategy & Support Calls

📞Some service plans include one monthly, two monthly, or four optimization/strategy calls or meetings as part of your subscription. These sessions are offered as advisory support to help optimize your digital system and marketing approach using the tools we’ve configured for you.

🚫 What’s Not Included:

📅 Scheduling & Usage Terms:

You are responsible for booking your allotted calls within each billing cycle

Missed or canceled calls with less than 24 hours’ notice are forfeited

Unused calls do not roll over unless stated in a custom agreement

AI Aid Agency reserves the right to adjust or reschedule based on team availability

These calls are meant to support your success—not replace deliverables or ongoing project management.

📅 Calendar Meeting Requirements

To ensure timely project initiation and proper delivery of services, all purchasers of AI Aid Agency service plans are required to schedule onboarding and implementation meetings as follows:

Basic, Standard, and Pro Plans:

Clients must book an onboarding calendar meeting within 7 calendar days of purchase. This meeting is required to review project scope, gather required assets, confirm account access, and finalize timelines.

AIAP FLEX and AIAP BUNDLE Plans:

Clients must schedule an initial strategy and configuration call within 7 calendar days of activation. This ensures correct module setup and alignment with business objectives.

📌 Important Notes:

Failure to book the initial meeting in a timely manner may delay project start dates. AI Aid Agency is not responsible for missed deadlines, delayed deliverables, or service interruptions caused by client inaction or scheduling delays.

Additional meetings may be required during the lifecycle of your project or subscription. These meetings are scheduled on a case-by-case basis depending on service needs, campaign adjustments, troubleshooting, or upgrade consultations.

Clients are responsible for attending scheduled meetings on time. Missed or rescheduled meetings may extend project timelines and delivery dates without refund or timeline extension.

AI Aid Agency reserves the right to charge for additional meeting time if the frequency or complexity exceeds the standard support scope outlined in your plan or agreement.

10. Plan Features & Service Limitations

To ensure transparency and avoid scope misunderstandings, the following outlines what is and isn’t included in the Basic, Standard, and Pro service plans. This protects both parties and establishes clear expectations.

🔧 Smart Website Design

Plan page counts refer to core business pages only (e.g., Home, About, Services, Contact, FAQ, etc.).

Pages beyond this—such as thank-you pages, blog posts, funnel steps, or standalone landing pages—are considered additional and not included unless specified in writing. The Pro Plan includes up to 11 standard pages, with support for up to 15 pages total when scoped during onboarding. Additional pages, landing pages, or funnels beyond this count may be quoted separately and are not included in the base plan unless agreed upon in writing.

🌐 Optional Domain Registration Service

Available for clients without an existing domain.

One domain registration (standard .com) is available at $20/year, billed separately.

The domain will be registered under AI Aid Agency management to ensure integration, uptime, and security during your active subscription.

Upon cancellation or service termination, domain ownership may be transferred to the client upon written request, provided all outstanding account balances are paid.

Premium domains (e.g., short names, highly desirable names, auction domains) are not included in standard pricing and will be quoted separately if requested.

For clients who already own an existing domain:

Clients must provide written (email) authorization granting AI Aid Agency permission to access and modify domain configurations (e.g., DNS settings, CNAME, A-records) as needed to complete website setup and hosting integration.

Clients are responsible for supplying any necessary login credentials, administrator access, disabling of registrar locks, or fulfillment of Two-Factor Authentication (2FA) verifications required to complete domain access and integration.

Failure to provide domain access in a timely manner may result in project delays without refund, timeline extension, or delivery guarantee.

AI Aid Agency is not responsible for missed launch dates, incomplete setups, or non-functional websites if domain access is restricted, incomplete, or delayed by the client.

📌 Important:

Standard domain registration is for basic .com names only (no custom TLDs like .agency, .io, etc. unless separately quoted).

Domain renewals after the first year are billed annually at the then-current rate.

AI Aid Agency is not responsible for third-party registrar outages, domain disputes, or trademark conflicts.

🤖 AI Chatbot

Standard chatbot setup includes one conversational flow for a primary function (e.g., lead capture, booking, FAQs).

Not included: multi-path logic, conditional sequences, third-party integrations (e.g., Zapier or OpenAI), or custom AI logic. These may be quoted separately upon request.

📈 SEO Services

Ongoing SEO support includes:

Basic metadata updates

On-page keyword optimization

Site performance checks

Not included unless scoped separately:

Blog/article writing

Technical SEO audits

Backlink development

Keyword strategy campaigns

📲 Missed Call Text Back

Standard missed call text back setup includes one default auto-response triggered by a missed call.

Not included:

Sequenced messages

Advanced routing

Advanced custom logic tied to calendars or CRMs

These enhancements may require a custom quote.

🗂 Lead Management App

Access to our proprietary lead management platform is included during your active subscription.

Custom CRM builds, data migration, advanced automations, and API-level integrations are not included unless quoted and scoped as a separate service.

Client is responsible for inputting leads and managing responses. We are not liable for follow-up performance if automation is not properly maintained by the client.

📅 Calendar Booking System

Standard includes setup of one primary calendar (e.g., Google Calendar sync for bookings) and standard custom logic for SMS & e-mail.

Not included without custom scope:

Multi-calendar logic
Advanced custom logic tied to calendars or CRMs

Team assignment features

Time zone logic or buffer rules

🌟 Google Reviews Campaign

This service sends automated follow-ups to request Google reviews via SMS or email.

Review content must be generated by real customers.

We do not use AI to generate or submit reviews on your behalf, and our system complies with all applicable platform policies (including Google’s Terms of Service).

📌 Catch-All Clause

Any features, assets, logic, or services not explicitly included in your signed onboarding scope, welcome packet, or client agreement are considered outside of plan limits and may be scoped and quoted separately.

🤖 AIAP Plans (Optional Add-On)

The AIAP FLEX PLAN allows clients to customize their AI automation system by selecting individual modules. The AIAP BUNDLE PLAN bundles all five modules into a complete package.

Each module or bundle includes:

A First 7 calendar days Free Trial, and full refund guaranteed if requested during first 7 calendar days free trial.

A one-time setup fee and ongoing monthly maintenance fee as outlined in your service agreement.


Clients may choose between:

AIAP FLEX Plan: Activate modules individually based on your needs. Each module carries its own setup and maintenance costs after the trial.

AIAP Bundle Plan: Activate all five modules together with discounted bundled pricing and integrated optimization support after the trial.

2,001+ extra minutes: $0.20/min

Usage-Based Billing:

Clients are responsible for all usage-based charges incurred through the Assistable.ai platform, including but not limited to:

Voice Call Charges: Billed per minute of AI voice call usage.

SMS Charges: Billed per SMS sent or received.

These charges are subject to Assistable.ai's current pricing and may vary over time. Clients will be billed accordingly, and it is their responsibility to monitor and manage usage to avoid unexpected charges.

Usage-Based Charges: Minutes are deducted from the monthly allowance; overages are charged per the tiered rate above.

Billing Clarity: Clients are responsible for monitoring usage via the dashboard and approving any overages in advance.

Platform Fees Not Included: Call and text usage fees from our voice platform partner (Assistable.ai) are billed separately at their standard rates. These costs are not marked up and will appear clearly on your invoice.

Client Responsibilities:

Ensure compliance with all applicable laws and regulations related to automated calling and messaging, including but not limited to the Telephone Consumer Protection Act (TCPA) and General Data Protection Regulation (GDPR).

Provide accurate and lawful contact lists for outbound campaigns.

Monitor usage to stay within desired budgetary constraints.

Limitations of Liability:

AI Aid Agency is not responsible for:

Costs incurred due to excessive usage beyond the client's intended limits.

Legal repercussions resulting from non-compliant use of the AI Voice Caller & Closer module.

Technical issues or outages originating from Assistable.ai's platform.

Modifications and Termination:

AI Aid Agency reserves the right to:

Modify the features or limitations of the AI Voice Caller & Closer module with prior notice.

Suspend or terminate access to the module in cases of misuse, non-compliance, or excessive usage that impacts service quality.


🤖 AI Appointment Automation

Setup includes:

Integration of one booking calendar with standard reminder and rescheduling logic

SMS and email confirmation sequences

Time zone support for single-location businesses

Not included unless scoped separately:

Multi-calendar logic (e.g., round-robin booking, multiple departments)

Payment processing within booking forms

Advanced conditional booking flows or complex time buffers


🔁 AI CRM Priority Logic

Setup includes:

📌 Catch-All Clause for AIAP: Any functionality, integrations, logic expansions, redesigns, or services not explicitly outlined above or in your initial AIAP onboarding scope are considered outside of the standard module limits and will require a separate quote and timeline.

📌 Refund Reminder: Once an AIAP module first 7 calendar days free trial has ended, setup fees and monthly maintenance fees are non-refundable. Monthly fees are billed per module, recurring until canceled with 30 days' written notice in email to [email protected].

11. Customized Dedicated AI Consultant Access and Usage

11.1 Definition and Scope

The term "Customized Dedicated AI Consultant" refers to any proprietary AI-driven application, digital agent, or smart assistant developed or configured specifically for your use by AI Aid Agency. This includes, but is not limited to, chatbots deployed via platforms such as Pickaxe AI. The chatbot may be included in the AI Automation Package (AIAP) or provided through the Dedicated AI Consultant module. Its function is to deliver AI-enhanced strategic support or task automation configured from trained prompts and supplied data.

11.2 Eligibility and Internal Use Access

Access is strictly limited to clients enrolled in active qualifying service plans. Chatbot usage is permitted only for internal business operations. Clients may not share access credentials, sublicense, embed, resell, or expose the chatbot to the public or third parties without prior written authorization from AI Aid Agency.

11.3 Function and Limitations

The chatbot may provide automated insights, strategic recommendations, or natural language interactions derived from preloaded logic. It does not replace professional advice or certified services. Any decisions or actions taken based on chatbot output are the client’s responsibility. Clients must review and verify content before public or operational use, especially in regulated sectors (e.g., legal, medical, financial).

11.4 Fair Use & Performance Limits

AI Chatbot usage is governed by fair use principles. AI Aid Agency monitors activity to ensure balanced access. We reserve the right to limit or pause access if:

Daily or monthly usage exceeds standard plan limits (e.g., excessive prompt counts or high-volume sessions)

The chatbot causes platform instability or unfair load on systems

Activity patterns suggest misuse or violation of licensing terms

Usage limits are subject to plan level and may include quotas on:

Daily active sessions

Prompt or token usage

Concurrent user access

Clients may be prompted to upgrade plans or purchase additional access if these limits are exceeded.

11.5 Output Responsibility and Disclaimer

Chatbot content is dynamically generated and may reflect model limitations or biases. AI Aid Agency:

Makes no guarantees about accuracy, legality, or suitability for any specific task

Disclaims liability for outcomes resulting from reliance on AI-generated output

Advises all clients to independently evaluate all chatbot responses prior to implementation

11.6 Intellectual Property and Licensing

All chatbot logic, structure, and prompt engineering remain the sole intellectual property of AI Aid Agency.

Clients:

May use the chatbot during an active subscription only

May not reverse-engineer, duplicate, extract, or export its logic or outputs for use outside the scope of the subscription

May not create derivative tools using our prompts, logic, or assistant architecture without explicit written approval

Custom modifications or integrations developed for a specific client are licensed, not transferred, and remain protected under this clause unless otherwise stated in a signed custom agreement.

11.7 Prohibited Use

Clients may not use the chatbot to:

Engage in automated activities that are harmful, misleading, or violate third-party rights

Generate illegal, abusive, or deceptive content

Impersonate individuals or businesses

Deliver regulated professional advice (medical, legal, financial) without proper disclosure or oversight

Violations may result in access suspension and legal consequences.

11.8 Platform Availability, Third-Party Dependency & Substitution

The Customized AI Chatbot may be delivered using third-party tools (e.g., Pickaxe AI). AI Aid Agency is not responsible for outages, data loss, functionality limits, or service disruptions caused by these third-party platforms.

If a third-party platform becomes unavailable, unstable, or unsuitable for continued use, AI Aid Agency reserves the right to migrate the chatbot to an alternative delivery platform. We will make reasonable efforts to ensure continuity of service during such transitions.

11.9 Suspension, Termination, and Reinstatement

AI Aid Agency reserves the right to suspend or revoke access to the chatbot at any time due to:

Subscription cancellation or non-payment

Violation of fair use or licensing terms

Security risks or misuse of the system

To reinstate access, clients must:

Resolve any outstanding issues (technical, financial, or contractual)

Submit a reinstatement request for review

Pay any applicable reinstatement or reconfiguration fees, if applicable

Active access requires an ongoing subscription to AIAP or Dedicated Consultant plans, plus compliance with all terms herein.
11.10 Knowledge Updates Using Client-Provided Data

As part of the AI Automation Package (AIAP) chatbot module, AI Aid Agency offers to periodically update the chatbot’s knowledge base using company-specific information provided directly by the client. This service is included at no additional cost during the client’s active subscription period.

To ensure accuracy and proper implementation:

Clients are responsible for supplying all business data, documents, product/service details, and other relevant material in a structured and accessible format.

AI Aid Agency will not be responsible for sourcing, verifying, or correcting third-party information not directly provided by the client.

Data used to train or inform the chatbot must be non-confidential or accompanied by a written release granting permission to embed the material into the chatbot framework.

All uploaded or submitted data is treated as client-supplied content and subject to the Content Responsibility and Legal Disclaimer outlined in Section 11.5.

📌 Important Limitations:

Updates will be processed only during active subscription periods. If a subscription lapses or is cancelled, no further data integration or updates will occur unless service is reactivated.

AI Aid Agency may decline or delay data updates if:

The material is unstructured, unverified, or legally questionable

The scope exceeds reasonable effort based on plan limits

The update request frequency is excessive or disruptive to service delivery

AI Aid Agency reserves the right to schedule, batch, or consolidate chatbot updates based on availability, resource load, or client tier.

All chatbot content updated via this method remains subject to Sections 11.5 (Disclaimer) and 11.6 (IP & Licensing).

12. AI Voice Caller & Closer

12.1 Definition and Scope

The AI Voice Caller & Closer is an automation module designed to place outbound calls triggered by lead capture events (e.g., form submissions), using pre-configured scripts to qualify leads and book appointments through an integrated calendar.

12.2 What’s Included

This module includes:

Configuration of one outbound call trigger per lead source

One basic call script (e.g., discovery, qualification, or reminder)

Booking link integration with one calendar per plan

Delivery of call logs or booking status through CRM

12.3 Exclusions and Limitations

The following features are not included unless explicitly scoped and quoted separately:

Advanced objection handling trees across industries

Multi-branch logic flows (e.g., dynamic paths based on caller responses)

Live call monitoring or escalation to human agents

Call transfers, call whispering, or telephony integrations beyond standard CRM

Regulatory compliance audits (e.g., TCPA, GDPR) — clients are responsible for using call automations in accordance with applicable laws in their jurisdiction

12.4 Fair Use and Performance

Use of the AI Voice Caller is subject to standard outbound volume limits. Excessive daily call volume, abuse of auto-dialing, or misuse of campaign logic may result in throttling, additional fees, or account review.

13. AI Appointment Automation

13.1 Definition and Scope

The AI Appointment Automation module automates calendar scheduling, rescheduling, and confirmations via AI logic connected to your CRM and email/SMS platforms.

13.2 What’s Included

This module includes:

Setup of one calendar and basic appointment confirmation/reminder sequence

Time zone support for single-location businesses

SMS and email reschedule/cancellation logic

CRM activity tagging for bookings

13.3 Exclusions and Limitations

The following are not included unless specifically scoped and agreed upon in writing:

Multi-calendar logic (e.g., routing based on staff, location, or department)

Custom payment logic or form-based invoicing at booking

Conditional appointment logic (e.g., different forms or buffers per service type)

Clients are responsible for managing time slot availability and team access. AI Aid Agency does not guarantee platform uptime for third-party calendar tools (e.g., Google Calendar, Outlook).

13.4 Fair Use & Oversight

Appointment automation relies on integration stability and proper contact segmentation. We reserve the right to disable or audit logic flows that cause excessive double-booking, failure to update CRM tags, or user complaints.

14. AI CRM Priority Logic

14.1 Definition and Scope

The AI CRM Priority Logic module introduces behavior-based tagging and basic lead scoring, enabling automated prioritization of contacts within your pipeline.

14.2 What’s Included

This module includes:

Setup of tagging rules based on opens, clicks, replies, or form completion

Lead scoring logic based on interaction thresholds

Auto-movement between pipeline stages for active vs. cold leads

CRM segmentation support within GoHighLevel

All scoring logic is rule-based and relies on input volume and segmentation accuracy. AI Aid Agency is not liable for lead prioritization errors due to incomplete or inaccurate CRM data.

14.4 Fair Use and Data Compliance

Client is responsible for compliance with local and international data protection regulations regarding CRM tagging and scoring. Lead classification systems are advisory and require human review.

15. Performance Data Loop

15.1 Definition and Scope

The Performance Data Loop module provides weekly engagement insights, suggestions for optimization, and reporting on campaign behavior such as opens, clicks, and bookings.

15.2 What’s Included

This module includes:

Weekly dashboard updates (inside CRM or via shared doc)

Tracking of performance KPIs like opens, CTRs, replies, and bookings

AI-generated optimization tips for content, sequences, or flows

15.3 Exclusions and Limitations

This module does not include:

Full conversion rate optimization (CRO) audits

Split-testing setup (A/B or multivariate testing platforms)

External analytics integrations (e.g., Google Analytics, Hotjar)

All insights are based on available CRM performance data and not predictive in nature. Suggested actions are based on current data visibility and should be validated with A/B testing or client-specific benchmarks.

15.4 Data Reporting Use

Clients agree to use reports for internal marketing optimization only. Reports are not guaranteed to produce specific financial or ROI outcomes. Use of AI recommendations remains the client’s responsibility.

16. Optional Lead Reactivation Campaign

16.1 Qualification Requirements

(Contact) and (Lead) are used synonymously. To qualify for this add-on, clients must provide a clean, compliant, and opt-in verified lead list. The list must meet the following criteria:

Legally Obtained: Contacts must have explicitly opted in to receive communications (e.g., via form submissions, purchases, or prior interactions). AI Aid Agency is not responsible for fines or legal actions resulting from improperly sourced or unauthorized contact data.

Data Accuracy: Lead lists must include valid phone numbers or email addresses, properly formatted for SMS or email delivery. AI Aid Agency is not responsible for delivery issues resulting from invalid, improperly formatted, or outdated contact data.

Volume Limits: Contact lists must fall within the limits specified for each plan tier (see Section 16.4). Lists exceeding these limits will require a custom scope agreement.

Data Freshness: Leads should not be older than 12 months without prior engagement, unless specifically scoped for reactivation. Stale data may negatively impact campaign performance, and AI Aid Agency is not responsible for suboptimal results caused by outdated contact lists.

16.2 What’s Included

Campaign Strategy Consultation: One 30-60 minute strategy session Discord call to define target audience, messaging tone, and campaign goals.

Audience Segmentation: Setup of one automated lead segment based on criteria like inactivity duration (e.g., 60-90 days), previous purchase history, or unresponsive contacts.

Message Sequencing: Creation of one standard SMS or Email sequence (up to 3 messages) with basic personalization (e.g., first name, last visit).

Automated Workflow Build: Configuration of one basic workflow to trigger messages at pre-defined intervals, including response handling.

Basic Performance Review: One post-launch review to assess open rates, response rates, and general campaign effectiveness.

16.3 What’s Not Included

The following features are not included unless explicitly scoped and quoted separately:

Advanced lead scoring or behavior-based triggers

Multi-branch logic or A/B testing of messages

Integration with third-party platforms for enhanced lead enrichment

Complex message variations or dynamic content outside standard personalization fields

Ongoing optimization or CRO (Conversion Rate Optimization) without custom scope agreement

API-level integrations for external lead data syncing

Real-time human support for manual contact cleanup or validation

16.4 Contact Limits per Plan

Each plan tier has specific volume limits to prevent system overload and ensure fair resource allocation:

Campaign: Basic Lead Reactivation Campaign. Contact Limit: Up to 500 contacts at $0.75 per lead. Notes: Ideal for small-scale reactivation efforts.

Campaign: Standard Lead Reactivation Campaign. Contact Limit: Up to 1,500 contacts at $0.50 per lead. Notes: Suitable for medium-sized campaigns.

Campaign: Pro Lead Reactivation Campaign. Contact Limit: Up to 5,000 contacts at $0.25 per lead. Notes: Designed for larger reactivation initiatives.

Exceeding these limits will require a custom scope agreement, potentially including:

Additional Charges: Extra fees based on volume and complexity.

Extended Timelines: Larger campaigns may require more time for setup and execution.

Platform Upgrades: CRM capacity may need to be increased for high-volume lists.

16.5 Fair Use and Data Responsibility

Client Data Responsibility: Clients are solely responsible for the accuracy, legality, and compliance of their lead lists. AI Aid Agency is not responsible for fines, penalties, or legal actions resulting from improperly obtained or maintained contact data.

Compliance: Clients must ensure compliance with local and international privacy regulations (e.g., TCPA, GDPR, CAN-SPAM). AI Aid Agency is not liable for regulatory violations arising from improper data use.

Contact Management: Campaigns are limited to the contact capacity of the associated Plan CRM. High-volume lists may require a plan upgrade or custom scope agreement.

Frequency and Updates: This service covers one-time setup. Ongoing re-engagement campaigns or updates to sequences are billed separately unless included in a higher-tier plan.

16.6 Delivery Timelines and Client Cooperation

Setup requires submission of qualified lead lists, brand messaging, and any required access credentials within 7 days of campaign activation.

Delays in providing required information may impact campaign launch timelines without refund, timeline extension, or service credit.

AI Aid Agency reserves the right to delay or cancel campaigns if client cooperation is lacking, or if provided data fails to meet minimum quality standards.

16.7 Service Suspension and Termination

AI Aid Agency reserves the right to limit, pause, or modify campaign access if:

Usage patterns disrupt platform stability

Fair use policies are violated

CRM or platform resources are exceeded

The client’s account is inactive, delinquent, or in breach of TOS

16.8 Important Disclaimers

No Guarantee of Results: AI Aid Agency makes no guarantees regarding the effectiveness or financial outcomes of Lead Reactivation Campaigns.

Data Quality: Poor data quality may significantly impact campaign results, and AI Aid Agency is not responsible for suboptimal performance due to outdated, poorly formatted, or low-quality contact lists.

Technical Limitations: AI Aid Agency is not responsible for technical issues arising from third-party integrations, API limitations, or CRM platform outages.

17. Ads Manager Fair Use Policy

To protect campaign performance and ensure fair access to services for all clients, our Ads Manager services are offered as an optional monthly upgrade across all plan tiers (Basic, Standard, and Pro). Clients may choose from two package types depending on their advertising goals and complexity needs.

📌 What Counts as One Ad Campaign

An ad campaign is defined as:

One advertising platform (Facebook, Instagram, Google, YouTube, or TikTok)

One core campaign objective (e.g., lead generation, retargeting, or awareness)

Up to three ad creatives (image or video variations)

⚠️ If you wish to run the same campaign across multiple platforms (e.g., Facebook and Instagram), this will be treated and billed as separate campaigns due to the unique setup and management required per platform.

🧠 Example: A duplicated ad with identical creative on Facebook and Instagram = 2 campaigns.

Campaigns with multiple objectives, excessive variations, or layered segmentation may also count as multiple campaigns and will be quoted accordingly.

Excessive creative variations or revisions

Multi-platform campaign duplication

High segmentation or experimental structures

Delays due to missing approvals or assets

✳️ Activation Terms

Ads Manager services are billed monthly, in addition to your main service plan.

Campaign work will not begin until all access credentials, approved creative assets, and billing permissions are received.

Campaign limits and reporting cycles reset monthly, unless otherwise stated in a custom agreement.

📌 Clients are responsible for timely submission of all deliverables. Delays in asset delivery may result in postponed launch dates without refund or timeline extension.

18. Automation, Setup, and Revisions

⚡ Launch-Ready in 2 Days or Less

Your system is typically launched within 2 business days from the time we receive all required client inputs, including platform logins, brand content, and completed onboarding forms. This applies to core deliverables such as your website, chatbot, and base automations.

Project timelines may be extended if:

Client fails to provide necessary access or documentation within 7 days of onboarding

Third-party verifications (e.g., A2P 10DLC, domain propagation, email warming) are pending

Major customization outside the standard scope is requested

⛔ Important:

We are not responsible for delays caused by third-party systems, compliance processes, app reviews, or API throttling. This includes but is not limited to services like Twilio (A2P), Google (Ads/Calendar), Facebook (Meta Business Tools), or domain registrars.

🔐 Access Requirements

All access credentials and platform permissions must be submitted within 7 days of onboarding. This includes, but is not limited to:

Google Ads / Meta / Gmail / DNS

Stripe, CRM access, or any other required integrations

Failure to do so may result in project suspension, delayed delivery, or forfeited setup guarantees.

✏️ Revisions & Scope Limits

Each core deliverable includes one round of post-delivery revisions, provided the request is submitted within 5 business days of delivery.

Revisions are limited to:

Layout adjustments

Text edits or minor content swaps

Visual refinements or formatting corrections

Not included:

Full redesigns or platform changes

Added functionality (e.g., new automation logic, multi-calendar logic, custom CRM fields)

Additional pages, flows, or integrations outside initial agreement

🚧 Requests beyond scope will be quoted as new work.

19. Cancelation and Refund Policy

Cancellation Policy:

Clients may cancel services by submitting a written request via email. Cancellations are only valid once confirmed in writing by our team. Verbal requests, SMS, or social media messages are not accepted as valid cancellation methods.

Subscriptions and services are cancellable at any time; however, cancellation does not automatically entitle the client to a refund unless stated below.

Refund Policy:

Refunds are only available for services that have not yet begun, free trial periods, or been partially delivered. A project is considered “started” once any access credentials have been used, or initial setup, strategy, design, or development work has commenced.

Unless otherwise stated in a written agreement, all service and subscription payments become non-refundable after 7 calendar days from the date of purchase. This applies regardless of delivery status, client communication, or engagement level.

In exceptional cases, partial refunds may be granted at our sole discretion, minus applicable setup, admin, and development costs incurred.

AIAP modules are strictly non-refundable after free trial period. Free trial periods are limited to one company per subscription or service where a free trial period is given. Setup fees are one-time, non-transferable, and after a free trial period are non-refundable. Monthly maintenance subscriptions (per module) begin upon subscription and include hosting, optimization, light revisions, and email support.

⚠️ All refund requests must be:

Submitted in writing via email

Submitted within 7 calendar days of payment

Processed digitally via the original payment method—we do not issue refunds by check or physical mail

Verbal requests or messages sent through unofficial channels (e.g., social media DMs or text) will not be considered valid refund submissions.

20. Optional Logo & Icon Design Services

20.1 Description and Scope

AI Aid Agency offers optional professional Logo Design and Icon Design services to support brand consistency and visual identity. These services are available to clients under any plan as separate add-ons and are not included in any core package by default unless explicitly stated in writing.

Logo Design includes the creation of a single brand logo concept customized to reflect the client’s identity, values, and market positioning.

Icon Design includes the development of a set of custom icons (up to 5 standard icons) for web or marketing use, consistent with the client’s visual branding.

20.2 Usage & Deliverables

Clients will receive:

High-resolution logo and/or icon files in standard formats (.PNG, .SVG, .JPG)

One round of revisions within 5 business days of delivery

Licensing for use in the client’s own business or branding

What’s Not Included:

Multiple brand explorations or logo concept variants

Full brand identity packages (e.g., typography sets, color palettes, brand guides)

Unlimited revisions or post-delivery changes

Resale rights or third-party redistribution rights

Design use for more than one brand or entity without prior agreement

20.3 Licensing and Ownership

Clients are granted a non-exclusive license to use the final approved design(s) for their own business marketing purposes. All initial drafts, working files, and unused design concepts remain the intellectual property of AI Aid Agency unless otherwise agreed upon in writing.

Final logo or icon files become the client’s property upon full payment and approval but may not be resold, sublicensed, or used in derivative works without permission.

20.4 Delivery Timelines

Design projects typically require 3–5 business days following the completion of a brand questionnaire and confirmation of visual preferences. Delays caused by incomplete feedback or unclear input are not grounds for refunds or delivery acceleration.

20.5 Client Responsibilities

Clients must:

Provide timely and accurate branding input

Submit approvals or revision requests within the specified revision window

Ensure all provided references and requests do not infringe on third-party copyrights

AI Aid Agency is not responsible for legal disputes, trademark issues, or client misuse of the designs.

20.6 Refunds and Revisions

As a creative service, Logo and Icon Design purchases are non-refundable once initial concepts are delivered. Minor edits are included in one revision round; additional changes will be quoted separately.
20.7 Pricing Structure

Logo Design

Flat Rate: $300 (One-Time) (Unless otherwise agreed upon in writing.)

Includes:

One custom logo concept

One round of revisions

Final delivery in .PNG, .SVG, and .JPG formats

Additional Revisions: $75 per round after initial included revision

Icon Design

All pricing is subject to change with notice and must be paid in full prior to delivery of final files.

21. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Florida. By using our services, you agree that any disputes arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts located in Florida, USA. Venue for any legal proceedings shall be in the county in which the company is registered, and both parties waive any objections to jurisdiction or venue.

22. Payment Terms

All invoices are due upfront unless otherwise stated. Late or failed payments may result in paused services or cancelled campaigns.

23. Confidentiality & Intellectual Property

23.1 Confidentiality

AI Aid Agency agrees to maintain the confidentiality of all non-public information and materials provided by the client, including but not limited to access credentials, business data, and proprietary content. Such information will not be disclosed to any third party without the client’s prior written consent, except as required to perform services under this agreement.

The client similarly agrees to maintain the confidentiality of any proprietary methods, internal documentation, or trade practices disclosed by AI Aid Agency during the course of the engagement.

23.2 Ownership and License

All content, strategies, frameworks, creative assets, and intellectual property developed by AI Aid Agency in connection with any service—whether digital, written, visual, or automated—remain the exclusive property of AI Aid Agency, unless otherwise agreed in writing.

Upon full payment, the client is granted a non-exclusive, non-transferable, revocable license to use the final deliverables for their own internal business purposes only. All AIAP modules, scripts, and workflows are proprietary and licensed for use during your active subscription.

23.3 Restrictions on Use

The client may not:

Reproduce, resell, distribute, or sublicense any deliverable to third parties. AIAP Modules may not be exported, resold, or repurposed outside of AI Aid Agency without permission.

Use the provided materials to build derivative works for external sale or public distribution

Replicate or transfer automation systems, designs, strategies, or creative assets to competitors, partners, or outside vendors without written permission

Any unauthorized use, copying, or dissemination of AI Aid Agency’s materials will be considered a breach of this agreement and may result in legal action.

23.4 Publicity
Client grants AI Aid Agency permission to use Client’s name, logo, and non-confidential descriptions of the Services provided as case studies, testimonials, and in sales or marketing materials. AI Aid Agency will not disclose Confidential Information. Client may withdraw this permission at any time by written notice through email only.

23.5 Aggregated and De-identified Data

AI Aid Agency may use service usage data, benchmarks, and performance metrics in an aggregated and de-identified form to improve services and to publish or share statistics in marketing materials. AI Aid Agency will not identify Client or Client’s customers in these materials and will not use Client customers’ personal data for AI Aid Agency’s own direct marketing without required consents and instructions, consistent with the Privacy Policy.

24. Smart App Subscription Plans & Usage Terms

24.1 Overview

AI Aid Agency offers a white-labeled Smart App designed for businesses to enhance customer experience through intelligent communication, automation, and CRM-like features. Subscription to the Smart App is available through three primary plans: Startup, Growth, and Enterprise.

Each plan includes a defined set of features, limitations, and responsibilities outlined below. Clients agree to these terms by subscribing to any Smart App plan.

24.9 Platform Restrictions & Fair Use

Clients must not:

* Attempt to reverse-engineer or copy Smart App components

* Resell access without prior written authorization

* Use the Smart App for unlawful or misleading communication

24.10 Setup, Support, and Access

* Standard setup time: 5-10 business days post-payment & intake form

* Enterprise clients receive onboarding call and training

* Priority support reserved for Enterprise Plan subscribers

24.11 Refunds & Cancellation

* All plans are month-to-month with 30-day cancellation notice

* No refunds issued for setup fees or unused features

24.12 Upgrades & Add-ons

24.13 Optional Additional Page/Screen Definitions
Standard Flow: The set of core screens included with your plan (e.g., Branded UI, Appointment Booking, Smart Estimate Request, Messaging Channel, Call Option, and any other features listed as “included” in your current plan). Additional Screen: Any new screen, modal, or distinct routed view that is not part of the Standard Flow and requires new design, logic, or data setup. See Section 24.16 for what counts as a screen. Complexity: A rating that determines the price tier of each Additional Screen, based on data, logic, integrations, and UI needs (see Appendix A). Revision: A round of changes requested by Client after an initial draft delivery. Multiple edits bundled together before we begin work again count as one revision round.
24.14 Optional Additional Page/Screen Pricing

Per-Screen Range: $200 – $500 USD per Additional Screen, determined by the Complexity rubric in Appendix A. Quoted Up Front: We provide a written estimate stating the target price and complexity tier before work starts on each Additional Screen. Bulk / Series Pricing: If multiple screens share the same layout, logic, and data structure (e.g., service types with identical forms), we may group-quote at a reduced effective per-screen rate. Grouping is at our discretion and will be documented in the estimate. Rush Fee: Work requested with a turnaround < 3 business days may incur a 25–50% rush fee, confirmed in writing prior to work. Currency & Taxes: All amounts are in USD and exclusive of applicable taxes; taxes will be added where required by law.
24.15 What’s Included in the Per-Screen Price

Screen Design & Build: Layout, styling aligned to your app’s current design system. Data Wiring: Connecting to existing Adalo collections (create/read/update/delete) and basic list/detail views. Basic Validations: Required fields, simple formatting checks. Standard Navigation: Linking into the existing app flow (one parent entry point + one success/exit path). QA & Fixes: See Section 24.22 for acceptance and warranty.
24.16 What Counts as a “Screen”

We count each of the following as one screen unless otherwise noted in your estimate: A new full-page view (e.g., a new form, a new list + detail pair when the detail uses Adalo’s default template). A modal or drawer with unique, purpose-built UI or logic. A list + custom detail combination counts as two screens when the detail requires custom logic or layout beyond Adalo defaults. A wizard/stepper counts as one screen per step if each step has distinct data bindings/logic. Variants (e.g., different states for success/error/empty) are included only if they share the same layout + simple state switching. If variants require unique logic/UI, they may be priced as separate screens and will be disclosed in the estimate.
24.17 What Does Not Count as a New Screen

Minor content edits (text, images) within an existing screen. Minor style tweaks (colors, spacing) within the same layout. Reusing a screen by duplicating it without structural, integration, or logic changes (e.g., the same template bound to a different static category) — subject to our confirmation. Note: If a “duplicate” requires new data structures, new integrations, conditional logic, or layout changes, it will be quoted as a new screen.

24.18 Exclusions (Typically Out of Scope for Per-Screen Pricing)

These are billed separately and disclosed before work starts: Complex integrations (third-party APIs, CRMs, payment gateways) beyond simple REST setup. AI features (chat agents, retrieval, tuning) beyond basic canned answers. Advanced workflows (multi-role permissions, multi-location routing, staged approvals). Custom components not achievable with Adalo-native features or standard marketplace components. Data migration from external sources. 24.19 Estimation & Approval Process

Discovery: You describe the new screen’s goal, data, and any special rules. Written Estimate: We send a short scope note with: Deliverables & assumptions Complexity tier (Low/Medium/High, mapping to $200/$300–$400/$500) Timeline window and any dependencies Price and (if applicable) rush fee Client Approval: Work begins only after written approval (email or in-app message) and invoice payment (see Section 24.21).

24.20 Changes During Build (“Scope Drift”)

If requirements change after work begins (e.g., new fields, new logic, integration added), we will: Pause, reassess impact, and issue a Change Order with an updated estimate. Resume only after approval. Timelines may shift accordingly. Small clarifications that do not add logic or new data sources are typically absorbed; we’ll confirm in writing if a change is considered “small.”

24.21 Payment Terms

Due Upfront: Additional Screens are billed 100% upfront based on the approved estimate. Non-Refundable Once Started: After we begin work (design or build), the fee is non-refundable. Suspension for Non-Payment: We may pause work or withhold delivery if invoices are unpaid after due date.

24.22 Delivery, Acceptance & Warranty

Draft Delivery: You receive a working draft in a staging environment or a video walkthrough. Revisions: Each Additional Screen includes up to 2 revision rounds within 7 calendar days of draft delivery. Additional rounds are billed at our hourly rate or re-quoted. Acceptance: A screen is deemed accepted when: You approve in writing, or 7 calendar days pass with no requested changes, or The screen goes live in production at your request. Warranty: We fix post-acceptance defects (bugs that deviate from the accepted scope) reported within 14 days at no cost. Enhancements, new logic, or third-party changes are not defects and will be quoted separately.

24.23 Client Responsibilities & Dependencies

Content & Assets: Provide final copy, images, and brand assets before build. Placeholder content beyond the draft phase may be billed as additional revisions. Access: Provide required credentials (Adalo, third-party tools) and test accounts in a timely manner. Timely Feedback: Feedback is due within 3 business days of our requests. Delays may extend timelines. Data & Compliance: You are responsible for the legality of content, consents, and data handling policies pertaining to your end users.

24.24 Technical Constraints & Performance

We design within Adalo platform capabilities and your current plan limits. If performance or platform limits require refactoring or external services, we will scope and quote separately.
24.25 Intellectual Property & Reuse
Your App Data/Design: You own your app’s data, content, and specific screen configurations delivered for your project once paid in full. Reusable Components/Patterns: We may reuse generalized techniques or code (that do not include your confidential data) across clients.
24.26 Confidentiality

We keep your non-public business information confidential and use it only to deliver the project.
24.27 Cancellation

You may cancel before approval with no charge. After approval/payment and once work starts, fees are non-refundable. If we must cancel for reasons beyond our control, we’ll refund any unearned portion and provide deliverables completed to date.
24.28 Disputes

We aim to resolve amicably. If unresolved, disputes will follow the governing law and venue stated in your Master Services Agreement or Subscription Agreement. If none exists, they will default to .
